Terms of sale

These terms and conditions of sale are concluded between:

TPL Systèmes, a company with a capital of 2,000,000 euros, whose registered office is located at ZAE DU PERIGORD NOIR, Sarlat la Canéda (24200), France, Tel: +33 5 53 31 55 00, registered with the Bergerac Trade and Companies Register under number 351 037 338, and whose tax identification number is FR01351037338 (hereinafter referred to as TPL Systèmes) any natural person (private individual only) wishing to make a purchase via TPL Systèmes' website (hereinafter referred to as the buyer).

The online sales website of TPL Systèmes is not intended for professionals, who have the option to make their purchases through TPL Systèmes' commercial department (commercial@tplsystemes.com / Tel. +33 (0)5 53 31 55 00).

Purpose

These terms and conditions of sale aim to define the contractual relationships and conditions applicable between TPL Systèmes and the buyer when making a purchase through TPL Systèmes’ online store (website www.tplsystemes.com). The purchase of an item through this website implies the buyer’s full acceptance of these terms and conditions of sale. These terms and conditions shall prevail over any other general or specific conditions not expressly agreed upon by TPL Systèmes. TPL Systèmes reserves the right to modify its terms and conditions of sale at any time. In such case, the applicable conditions will be those in effect on the date of the buyer's order.

Characteristics of the Offered Goods

The products offered are those listed in TPL Systèmes' online store. These products are available while stocks last. Each product is accompanied by a description provided by TPL Systèmes. The photographs of the products in the online store are as faithful as possible but cannot guarantee a perfect similarity with the product offered, particularly regarding colors.

Prices and Availability of Products

The prices listed on the website are inclusive of VAT in euros, considering the VAT rate applicable on the day of the order. Any changes in the rate may affect the price of products or services. TPL Systèmes reserves the right to change its prices at any time, but it is understood that the price listed on the website on the day of the order will be the only one applicable to the buyer. The listed prices include order processing, shipping, and delivery costs, as long as they occur within the geographic area defined below. Product offers are valid as long as they are visible on the website, within available stock limits, excluding promotional operations indicated as such on the website. If a product is unavailable after placing an order, the buyer will be notified by email. The order will be automatically canceled, and a refund corresponding to the price of the unavailable product will be issued.

Geographic Area

The online sale of the products presented on the site is reserved for buyers residing in mainland France and Corsica (excluding DOM-TOM).

Orders

The buyer wishing to purchase a product must:

Complete the identification form, providing all requested information, or provide their customer number if they have one;
Complete the online order form with the chosen products;
Confirm the order after reviewing it;
Make the payment under the stipulated conditions;
Confirm the order and payment. Order confirmation implies acceptance of these terms and conditions of sale, acknowledgment of having read them fully, and waiver of any other purchasing conditions. All provided data and the confirmed order will serve as proof of the transaction. The confirmation constitutes the signature and acceptance of the transactions carried out. TPL Systèmes will send an email confirming the registered order.

Withdrawal

Buyers, non-professional natural persons, benefit from a seven-day withdrawal period from the delivery date of their order to return the product to the seller for exchange or refund without penalty, except for return shipping costs.

Payment Terms

The price is due at the time of the order. Payments are to be made by credit card; payments will be processed through a secure system ensuring that the transmitted information is encrypted by software, and no third party can access it during transmission over the network. The buyer’s account will be charged at the time of the order for the amount of the products shipped. Upon the buyer's request, an electronic invoice indicating the VAT can be sent.

Deliveries

Deliveries are made to the address indicated on the order form; it must be within the agreed-upon geographic area. Risks are the responsibility of the buyer from the moment the products leave TPL Systèmes' premises. In the event of damage during transport, a motivated protest must be filed with the carrier within three days of delivery. Delivery times, expressed in business days (weekdays, excluding Saturdays, Sundays, and public holidays), are given as an indication; if they exceed thirty days from the order, the sales contract may be terminated, and the buyer will be refunded.

Warranty

All products supplied by TPL Systèmes are covered by the legal warranty as per articles 1641 and following of the French Civil Code. In case of non-compliance of a sold product, it can be returned to TPL Systèmes, which will take it back, exchange it, or refund it. All claims, requests for exchanges or refunds must be made by post to the following address: TPL SYSTEMES – ZAE DU PERIGORD NOIR – 24200 SARLAT, within thirty days from the delivery date.

Liability

TPL Systèmes, in the online sales process, is only bound by an obligation of means; its liability cannot be engaged for damages resulting from the use of the Internet network, such as data loss, intrusion, virus, service disruption, or other involuntary issues.

Intellectual Property

All elements of TPL Systèmes' website are and remain the intellectual property of TPL Systèmes. No one is authorized to reproduce, exploit, redistribute, or use in any way, even partially, elements from the website, whether software, visual, or audio. Any simple or hyperlink is strictly prohibited without express written consent from TPL Systèmes.

Personal Data

In accordance with the law related to data processing, files, and freedoms of January 6, 1978, personal information related to buyers may be subject to automated processing. TPL Systèmes reserves the right to collect information about buyers, but this information is not intended to be transmitted to third parties or commercial partners of TPL Systèmes. Users have the right to access and correct their data, in accordance with the law of January 6, 1978. The automated processing of information, including the management of email addresses for users of the site, was declared to the CNIL on 27/08/2014, registered under number 1789771.

Archiving – Proof

TPL Systèmes will archive the order forms and invoices on a reliable and durable medium that constitutes a faithful copy according to the provisions of article 1348 of the Civil Code. TPL Systèmes' computerized records will be considered as proof of communications, orders, payments, and transactions between the parties.

Dispute Resolution

These online sales terms and conditions are governed by French law. In case of dispute, the competent courts of Bergerac have jurisdiction.
